RuufLink™ is a lead marketplace operated by ASNGS Group Holdings LLC.

1. Acceptance of terms

By accessing or using RuufLink™ (the "Site" or "Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, please do not use the Service. We may update these terms from time to time; the version in effect at the time of a transaction is recorded with that transaction.

2. Our role

RuufLink™ operates a roofing lead marketplace. We connect homeowners who submit roofing projects with local roofing professionals who may be interested in those projects. We are not a roofing contractor, we do not perform or supervise roofing work, and we do not act as an agent, broker or representative of any homeowner or roofing company. Any agreement for roofing work, estimates, proposals, payments, warranties or other services is strictly between the homeowner and the roofing company.

3. No endorsement or guarantee

We collect business details and CSLB license information from roofing companies and review applications before activating accounts. We do not guarantee any company's licensing status, insurance, workmanship, pricing, availability, financial stability or compliance with legal requirements. You should confirm these matters directly before entering into any agreement.

4. Eligibility and account registration

To use the Service, you must be at least 18 years old and able to form a binding contract. Roofing companies must represent a legitimate business and provide accurate company, contact and license information. We may refuse, suspend or terminate any account at our discretion.

5. Homeowner use

• Submit accurate information about a property you own or are authorized to act for.
• Verify your mobile number when prompted; unverified requests are not listed in the marketplace.
• There is no cost and no obligation to hire any roofing company.
• You may ask any company that contacts you to stop; they must honor that request.

6. Contractor use

• Purchases are governed by these Terms, the Contractor Agreement and the Lead Purchase & Lead Protection Policy.
• Homeowner information may be used only to contact the homeowner about the specific project you purchased.
• Reselling, redistributing, syndicating or repurposing homeowner information is prohibited.
• You are solely responsible for maintaining all licenses, insurance, permits and other legal requirements.

7. Acceptable use and prohibited conduct

You may not:

• Use the Service for any unlawful purpose or in violation of any applicable law.
• Submit false, misleading or fraudulent information.
• Harass, threaten or use high-pressure sales tactics.
• Interfere with the security or operation of the Service.
• Scrape, crawl or reverse-engineer the Site without our written consent.

8. Intellectual property

The RuufLink™ name, logo, trademarks, content and software are owned by RuufLink™ or its licensors. You may not use them without our prior written permission, except as needed to describe your participation in the marketplace.

9. Third-party services

We rely on third-party providers for SMS verification, payment processing, email delivery, hosting, address lookup and autocomplete, and automated roof measurement and property data. These providers have their own terms and privacy practices.

Address lookup and autocomplete are provided by Google Maps Platform (Google Places). By using those features you also agree to the Google Maps Platform Terms of Service, which include the Google Terms of Service.

10. Disclaimer of warranties

To the maximum extent permitted by applicable law, the Service and all information submitted through it are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, secure or that any lead will result in contact, an estimate, a sale or a completed job.

11. Limitation of liability

To the maximum extent permitted by applicable law, RuufLink™ and its affiliates, officers, employees and agents shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any lost profits or lost data, arising out of or relating to the Service, any lead, or any roofing work or estimate. RuufLink™ is not responsible for the acts, omissions, workmanship, pricing, warranties, property damage, personal injury, delays or disputes of homeowners or roofing companies.

Nothing in these terms limits or excludes liability that cannot lawfully be limited or excluded, including liability for fraud or fraudulent misrepresentation, willful misconduct, gross negligence, or death or personal injury caused by our own negligence.

The contractor liability cap may be tied to amounts paid to RuufLink™ for the lead(s) at issue. The homeowner liability cap and any specific monetary cap require attorney review before being finalized.

12. Indemnification

You agree to indemnify and hold harmless RuufLink™ from any claims, damages, losses or expenses arising out of your use of the Service, your breach of these terms, your misuse of homeowner information, or your violation of any law or the rights of a third party.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause. Roofing companies that are suspended may retain access to previously purchased leads but may not purchase new leads. Provisions that by their nature should survive termination will survive.

14. Changes to terms

We may update these Terms from time to time. The version in effect at the time of a transaction is recorded with that transaction. Continued use of the Service after changes constitutes acceptance.
